The invention provides a display panel and a display device, relates to the technical field of display, and is used for solving the problems of display defects, side light leakage and the like which are easy to occur in a display product. The display panel comprises a first substrate, a second substrate and a liquid crystal layer, wherein the first substrate and the second substrate are oppositely arranged, and the liquid crystal layer is arranged between the first substrate and the second substrate. The display panel further comprises a second alignment layer, a color film layer, a black matrix layer, a shading structure and a protective layer. The second alignment layer is positioned between the second substrate and the liquid crystal layer; the color film layer is located on the side, back on to the first substrate, of the second substrate. The black matrix layer is located on the side, back to the first substrate, of the second substrate. The shading structure is located on the side, back to the first substrate, of the second substrate, and the boundary of the shading structure is roughly flush with the boundary of the second substrate; the protection layer is located on the side, back on to the first substrate, of the second substrate, and the color film layer, the black matrix layer and the shading structure are all located between the protection layer and the second substrate.
